[Weekly M&A] A Week Filled with Big Deals, M&A Market Blazing... Rush of Investments in AI and High-Tech

This week, the venture capital (VC) and M&A market saw active developments with large-scale deals and strategic investments. In particular, mergers and acquisitions led by conglomerates and private equity funds (PEFs) were prominent, while startups in the artificial intelligence (AI) and advanced technology sectors focused on securing future growth engines by attracting investments. Across the market, investments by big tech companies and business restructuring movements by traditional companies were observed.

Overwhelming Big Deals Lead Market Restructuring

In the M&A market this week, large-scale transactions easily exceeding 100 billion won stood out. NS Home Shopping signed a formal contract to acquire Homeplus Express for 120.6 billion won, revealing its intention to secure last-mile capabilities on top of being a food powerhouse. Private equity fund Centroid PE is actively pursuing portfolio expansion, stepping up to acquire The People Life, the 6th largest company in the mutual aid (sangjo) industry, with an enterprise value of 200 billion won being discussed. Global PEF Bain Capital finalized its management takeover by securing a 95% stake in Eco Marketing.

News of large-scale asset securitization also followed. JoongAng Group is pursuing a 600 billion won securitization by selling and leasing back three real estate assets, including its Sangam-dong headquarters building, to reduce borrowings and secure investment capacity.

In the venture investment market, large-scale investment attractions targeting trillion-won enterprise values also drew attention. Senior care specialized company Caring attracted a 40 billion won Series C investment, proving its growth potential as a promising industry in the aging era. Online fresh food and beauty product seller Kurly attracted a 33 billion won follow-on investment from Naver, solidifying a stable foundation for growth. Strategic investments by conglomerates also continued. Samsung Life Science Fund invested in Cartography Biosciences, a US bio venture company, to secure global competitiveness in the bio sector.

AI and High-Tech, Core Engines to Lead the Future Market

Artificial intelligence (AI) was a core investment theme again this week. AI-based supply chain intelligence solution company Willog accelerated its global expansion speed by attracting a Series B-2 investment from seven domestic and foreign investment firms, including KB Investment and SGC Partners. AI-based materials development startup AstralQ successfully attracted a seed investment from Smilegate Investment, Bluepoint Partners, Schmidt, Korea Investment Accelerator, and others.

AI-related M&As also gained attention. AI startup Upstage confirmed its acquisition of AXZ, the operator of the portal 'Daum', foreshadowing a transition to an AI portal based on its proprietary LLM 'Solar'. This demonstrates the trend of AI technology combining with existing IT infrastructure to create new service models. In addition, Irum Technology attracted a Pre-A investment with its AI-based integrated water pipe network control system, and Tnaps was selected for TIPS with its AI agent reliability verification technology, suggesting the diverse applicability of AI technology.

Investments in water treatment technology, a core area of the semiconductor industry, also continued. G&G Intech highlighted the importance of core infrastructure technology by attracting a Series A investment from L&S Venture Capital, IBK Industrial Bank of Korea, and others with its specialized technology for semiconductor ultrapure water and water reuse treatment.

M&A, Restructuring, or Other Notable Deals

The active movements of major PEFs continued. Centroid PE embraced Liberty Asset Management, and is expected to set out in designing customized investment structures such as trust-type funds as a private equity management firm exclusively for institutions. Domestic private equity fund Busan Equity Partners (Busan EP) accelerated the Nexflex acquisition deal again with the new participation of UK-based private equity fund ICG.

Motrex, which aims to become an auto parts group, continued its expansion trend by receiving financial support from JKL Partners for the acquisition of Dual. Jeil M&S, which is undergoing rehabilitation procedures, prepared a stepping stone for a comeback by confirming Pureun Investment as the final prospective acquirer. In addition, an analysis also emerged that the second-generation owners of Fine Group and Jusung Group have completed a 'no-lose succession play' of securing cash and strengthening control by utilizing the listed company's funds through the M&A of OrbiTech.

Corporate restructuring and reorganization movements were also active. Sunjin Beauty Science strengthened its business expertise by physically spinning off its clinical division to establish an independent corporation, 'Sunjin Clinical Research Center'. Leading Investment & Securities physically spun off its hedge fund management division to establish 'Leading Global Asset Management', stepping up to strengthen its private equity fund expertise. Hanssem sought to enhance management efficiency and competitiveness in the premium market by absorbing and merging its 100% subsidiary, Hanssem Nexus.

In addition, children's clothing brand Detami Project attracted a 2 billion won investment from Musinsa Partners, and KH Global Hanbang, a developer of health functional foods based on herbal ingredients and natural products, received a seed investment of 500 million won. Small startups in various fields, such as global livestock distribution tech startup Pinkpacker, beauty tech and customized product development service Curapulse, offline group purchasing platform company Sodomall, and wellness lifestyle community Trus Company, sought growth by attracting investments.
