NHN Bugs (hereinafter Bugs)'s transfer of management rights has fallen into a state of zero visibility. With an injunction application filed by the shareholder accepted just a week before the balance payment for the change of the largest shareholder, a red light has been turned on for both NHN's fund recovery strategy and the buyer's plan to secure control.

On March 19, 2026, creditor Kang O-O filed an 'injunction for suspension of execution of duties, etc. (Case No. 2026 Kahap 20545)' with the Seoul Central District Court. The targets of this lawsuit are all 6 internal and external directors, including CEO Wang Moon-joo, and 1 auditor. The applicant requested the suspension of the execution of duties and the appointment of an acting representative for these 7 individuals until the judgment on the merits, along with the suspension of the effect of the 'stock transfer contract accompanying the change of the largest shareholder' announced on January 15 and March 9.

In particular, this lawsuit was unexpectedly received via fax with only 7 days left until the scheduled balance payment date of March 26, emerging as the biggest variable in closing the deal. The market analyzes that this lawsuit originated from shareholders' backlash against the sale of management rights to a company whose financial soundness has collapsed.

In fact, the financial condition of NDT Engineering, the prospective largest shareholder, is at a serious level. It was confirmed to be in a state of 'complete capital impairment' with total equity of -12.5 billion won, recording total liabilities of 112.1 billion won and total assets of 99.6 billion won on a consolidated basis in 2024. NHN intended to sell the stake for 34.7 billion won even at the cost of a massive actual loss compared to the principal of its past acquisition, but controversies over the buyer's financing capability and management qualification eventually led to the substantive risk of a legal dispute.

NHN originally planned to receive the balance and complete the transaction on March 9, but it had postponed this once to March 26. It is pointed out that this 15-day gap provided physical time for opposing shareholders to prepare legal action. If the duties of the board of directors are suspended as requested in the injunction application, it is inevitable that Bugs will suffer from management paralysis operated under a third-party acting representative system, and it is also unclear whether the buyer, in a state of capital impairment, will be able to normally pay the balance of 31.2 billion won while bearing the litigation risk.

Bugs maintains the position that it will respond according to lawful procedures, but if the court grants the injunction application, this stock transfer contract will be immediately frozen. This is highly likely to disrupt NHN's cash securing strategy as well as expand into a debate over responsibility for shareholder value damage caused by the unreasonable push for the sale.
