KOSDAQ-listed RN2 Technologies (148250) announced on the 20th that it has decided to sell its entire stake in its affiliate, RNTX. With this transaction, RNTX's largest shareholder will change from RN2 Technologies to Widwin Investment Association No. 91.
RN2 Technologies held a board of directors meeting on this day and decided to transfer 8,065,867 shares of RNTX for 14,921,853,950 won. This amounts to 37.87% of equity capital and 23.54% of total assets based on RN2 Technologies' consolidated financial statements.
The shares to be transferred represent approximately 24.7% of the total issued shares of RNTX, and following the transfer, RN2 Technologies' stake in RNTX will become 0%. The company stated the purpose of the transfer as "securing funds through the sale of an affiliate."
The transaction counterparties are 'Widwin Investment Association No. 91' and 'Sky Hammer No. 1 Investment Association'. Widwin Investment Association No. 91 will acquire 4,065,867 shares (7,521,853,950 won), and Sky Hammer No. 1 Investment Association will acquire 4,000,000 shares (7.4 billion won), respectively. The transfer price per share is 1,850 won.
Payment will be made entirely in cash. The first down payment of approximately 750 million won will be paid on April 20, the second down payment of approximately 750 million won on April 30, and the remaining balance of approximately 13.4 billion won is scheduled to be paid on May 28. The expected transfer date and transaction closing date is May 28, 2026.
Meanwhile, the issuing company, RNTX, is engaged in the image sensor packaging business, and recorded sales of 38,376,480,000 won and a net loss of 3,288,380,000 won on a consolidated basis in 2025.
