Synopex Decides to Absorb and Merge 100% Subsidiary Synopex Membrane

KOSDAQ-listed company Synopex announced on the 23rd that it will absorb and merge its subsidiary Synopex Membrane to improve management efficiency and integrate its materials, parts, and equipment business capabilities.

This merger is a merger without issuing new shares conducted while Synopex owns a 100% stake in Synopex Membrane, with a merger ratio of 1 to 0. As it is being promoted as a small-scale merger under the Commercial Act, it will be replaced by a resolution of the board of directors instead of a separate general shareholders' meeting approval, and the shareholders' appraisal rights will not be recognized.

The company stated that through this merger, it plans to strengthen its business competitiveness and secure mid-to-long-term growth engines by combining core capabilities within the organization and operating production bases in an integrated manner. Since Synopex holds the entire stake in the subsidiary, it is expected that there will be no change in management control or meaningful financial changes on the consolidated financial statements even after the merger.

According to the merger promotion schedule, the merger agreement will be signed on April 24, 2026, and notices of dissent against the merger will be received from May 8 to 22. Following the creditor objection submission period from May 26 to June 26, the merger registration is scheduled to be completed on June 30, with June 29 as the merger date.

However, if shareholders owning 20% or more of the total number of issued shares of Synopex express their dissent in writing within two weeks from the announcement date, the progress of the small-scale merger procedure may be restricted.
