'Lord of Heroes' Developer Clover Games Eventually Goes Bankrupt... The Result of Chronic Deficits and Capital Impairment

Domestic game developer Clover Games, which built its recognition through games such as 'Lord of Heroes', has eventually gone bankrupt 9 years after its establishment. The 15th Bankruptcy Division of the Seoul Bankruptcy Court declared Clover Games Co., Ltd. bankrupt on the 6th, and accordingly, all games serviced by the company were completely terminated as of May 9.

The core risks that led Clover Games to bankruptcy can be summarized as cash depletion due to continuous operating deficits and the worsening of a state of complete capital impairment.

Chronic Deterioration of Profitability and Exponentially Increased Deficits

Clover Games suffered from a chronic deterioration of profitability, failing to record an operating profit even once from 2020 to 2024. In particular, it recorded a massive operating loss of approximately 12.7 billion won in 2022, and continued to be stuck in a swamp of continuous deficits, posting a loss of about 4.8 billion won in 2024.

As net losses accumulated every year, the accumulated deficit also expanded significantly. The undisposed accumulated deficit, which was around 13.9 billion won at the end of 2020, exponentially increased to approximately 48.5 billion won by the end of 2024. This ultimately became the fundamental cause that completely exhausted the company's fundamental strength.

Asset Soundness Crisis and Continuous Warnings from External Auditors

Due to accumulated deficits, the company had already fallen into a state of complete capital impairment, with negative (-) total equity, for several years. As of the end of 2024, the company's total assets were merely about 11.2 billion won, whereas total liabilities reached approximately 46.6 billion won, resulting in a severe state where total equity was roughly -35.4 billion won.

Accordingly, from 2022 to 2024, the external auditor continuously warned of financial risks by raising 'substantial doubt about its ability to continue as a going concern' based on "the company's generation of net losses and the situation where current liabilities significantly exceed total assets."

Failure of New Releases and Limitations in Raising Additional Capital... Eventually Surrenders

The ability to handle immediately payable debts was also lost. As of the end of 2024, Clover Games' current liabilities were about 29.1 billion won, exceeding its current assets of about 10.7 billion won by over 17.8 billion won. In fact, it was facing an extreme liquidity crisis where even short-term debt repayment was impossible.

The company pushed for the release of new games to recover financial soundness and escape the crisis, but failed to produce tangible results. In particular, as its new title 'Heavenhells', ambitiously released in February, achieved a performance below expectations, management conditions worsened further, such as carrying out restructuring just about a week after the launch.

Attracting investment also faced difficulties. In a situation where it had already fallen into complete capital impairment, raising funds through additional paid-in capital increases or borrowings was close to impossible. Although its sales in 2024 rebounded slightly year-on-year to about 13 billion won, it was vastly insufficient to cover its massive cost structure.

To somehow continue game services, CEO Yun Sung-kuk staked his life on securing liquidity by continuously injecting over 3 billion won of his personal wealth over the past three years. However, despite desperate self-rescue efforts, as the fund depletion reached an unmanageable limit, the game company, which once attracted investment at a corporate value of 100 billion won, ultimately could not overcome the state of complete capital impairment and met bankruptcy.
