XPERIX Absorbs Subsidiary Anute... "Improving Management Efficiency and Creating AI Synergy"

KOSDAQ-listed company XPERIX (XPERIX) is set to maximize management efficiency by absorbing and merging its subsidiary specializing in artificial intelligence (AI) data, Anute.

XPERIX announced on the 18th that it has decided through a board of directors resolution to absorb and merge its 100%-owned subsidiary, Anute.

This merger will take the form of the surviving company, XPERIX, absorbing the dissolving company, Anute. Since XPERIX owns a 100% stake in Anute, the merger ratio has been set at 1 to 0. As it is proceeding as a "merger without capital increase" that does not issue new shares and a "small-scale merger" under the Commercial Act, there will be no change in management control or the largest shareholder.

Regarding the purpose of the merger, the company stated, "It is to strengthen corporate competitiveness through increased management efficiency and to secure future growth engines by creating business synergy through the integration of the two companies."

The merged entity, Anute, is an application software development company established in 2021. It is an artificial intelligence data specialist that creates optimized AI solutions by collecting and processing structured and unstructured data across various domains. It was incorporated as a subsidiary after XPERIX completed the acquisition of a 100% stake on the 14th.

According to the small-scale merger method, separate stock purchase claims are not granted to XPERIX shareholders, and the approval of the general shareholders' meeting is replaced by a board resolution. However, if shareholders holding 20% or more of the total issued shares as of the shareholder confirmation record date (June 2) express their opposition in writing, the small-scale merger may become impossible.

The major schedule begins with the signing of the merger agreement on May 19, followed by the receipt of notices of objection to the merger from June 2 to 16. The date of the merger is July 20, and the expected date for the merger registration is July 21.

An official from XPERIX said, "Through this merger, we expect to reduce unnecessary costs and efficiently combine human and material resources, which will have a positive impact on improving our performance and financial structure."
