
KOSDAQ-listed DuChemBio (CEO Kim Sang-woo) announced on the 22nd that it will absorb and merge with its 100%-owned subsidiary, Radio D&S Labs.
The merger ratio is 1 to 0, taking the form of a non-capital-increasing merger that does not issue new shares. DuChemBio will proceed with this merger through a small-scale merger procedure, and there will be no change in the largest shareholder or capital after the completion of the merger.
The company stated the purpose of the merger, saying, "It is to improve the management efficiency of the radiopharmaceutical business and accelerate the promotion of research and development (R&D) and CDMO (contract development and manufacturing organization) businesses, as well as the development of new therapeutic radiopharmaceutical drugs."
The board of directors' resolution for the approval of the merger is scheduled for August 31, and the company plans to complete the merger on October 2, 2026, after the period for creditors to submit objections.
